Bell Copper Corporation (the "Company") (TSX VENTURE:BCU) announces that it is amending the terms of its previously announced brokered private placement. The Company will now proceed with the private placement on a non-brokered basis and offer for sale up to 50,000,000 units (the "Units") at a price of $0.05 per Unit for total gross proceeds of up to $2,500,000 (the "Financing"). Each Unit will consist of one common share of the Company and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire one common share of the Company at a price of $0.10 for a period of 24 months from the closing date of the Financing.
The Company is presently exploring opportunities to work with certain Canadian and international firms to complete the Financing on a non-brokered basis.
The Company intends to use the proceeds from the Financing primarily to fund the completion of the feasibility study and ongoing development of the La Balsa project in Mexico, to fund the acquisition of the Van Dyke project in Arizona, and for general working capital purposes.
Upon the closing of the Financing, the Company may pay to eligible finders in accordance with the policies of the TSX Venture Exchange finders' fees in cash, common shares, warrants or any combination thereof.
